Terms of Service

The terms governing the use of the Aegis SaaS platform and its vertical modules. Please read them carefully: by registering or using the service you declare that you fully accept them.

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer") and AEGIS SOFTWARE SOLUTIONS LTD, with registered office at 20 Wenlock Road, London N1 7GU, England, Company No. 16640141 ("Aegis", "we") and govern access to and use of the SaaS platform, the vertical modules and any related service.

By using the service you declare you have read, understood and fully accepted these Terms, the Privacy Policy and the Cookie Policy. If you do not agree with any clause, do not use the platform.

Professional customer: the service is intended for professionals and businesses (B2B). Consumer protections apply only where required by mandatory law.

2. Definitions

  • Platform — the Aegis SaaS infrastructure accessible over the web.
  • Module — vertical feature available for separate purchase (e.g. MyConsultant, MyAuditor).
  • Account — the Customer's personal credentials to access the Platform.
  • Tenant — the Customer's dedicated workspace inside the Platform.
  • Customer Content — data, documents, prompts and outputs uploaded or generated by the Customer.
  • AI Credits — prepaid consumption units for the AI services.
  • Trial — 7-day free trial period per module.

3. Account and access

3.1 Registration

  • The user must be at least 18 years old and have the legal capacity to enter into binding contracts.
  • The data provided at registration must be truthful, accurate and kept up to date.
  • Creating accounts with someone else's data or fictitious pseudonyms is prohibited.

3.2 Credential security

  • The Customer is solely responsible for the safekeeping of credentials, tokens and MFA codes.
  • Any unauthorised access must be reported immediately to the email address indicated in section 13.
  • Aegis recommends enabling multi-factor authentication (MFA) and the IP allowlist.

3.3 Workspace members

The tenant admin can invite additional members. Each invitee accepts these Terms on first access. The admin is responsible for their members and for compliance with these Terms.

4. Service and modules

4.1 Free trial

Each module includes a 7-day free trial, with an initial AI credit budget. After the trial, continuing to use the module requires a paid subscription.

4.2 Subscription plans

  • Plans are described in the public pricing pages and accepted at the time of subscription.
  • The billing cycle can be monthly or annual, with automatic renewal unless cancelled.
  • Plan changes (upgrade/downgrade) take effect according to the proration rules shown at checkout.

4.3 AI services

The AI modules consume prepaid AI Credits, purchasable in packs. Credits are non-refundable and have a validity period shown at purchase. Credit consumption is logged in real time and can be inspected from the admin panel.

Aegis uses third-party AI providers (OpenAI, Anthropic, Google). Data sent for processing is not used by those providers to train models — see the Privacy Policy.

4.4 Beta and experimental features

Some features may be offered in beta: they are provided "as-is", with no warranties, and Aegis may modify or discontinue them at any time.

5. Pricing and billing

  • Prices are quoted in Euro (€), excluding VAT where applicable.
  • Payments are handled by Stripe Payments Europe Ltd. Aegis does not store credit card data.
  • Invoices are issued electronically with a downloadable PDF, in the format required by the Customer's applicable jurisdiction.
  • If payment is not received within 7 days of the due date, access to the service may be suspended.
  • Any dispute about an invoice must be raised in writing within 30 days of issuance.
Right of withdrawal (consumers). By subscribing to a plan and starting to use the Platform, a consumer expressly waives any right of withdrawal applicable to digital content supplied on an intangible medium, to the extent permitted by the consumer's local law.

6. Acceptable use

The Customer agrees NOT to use the service to:

  • Carry out illegal or fraudulent activities or activities that infringe third-party rights.
  • Upload content infringing copyright, trademarks, patents or trade secrets.
  • Transmit malware, viruses or harmful code.
  • Attempt unauthorised access, reverse engineering, mass scraping or to overload the systems.
  • Share credentials between multiple people or circumvent plan limits.
  • Generate, with the AI, defamatory, discriminatory, sexually explicit, violent content, or content aimed at manipulation/disinformation.
  • Resell or sublicence the service without Aegis's written authorisation.

Aegis reserves the right to suspend or terminate accounts in violation of these rules, even immediately in the most serious cases, without refund.

7. Intellectual property

7.1 Aegis's rights

The Platform, the software, the trademarks, the logos, the design and any editorial content are the exclusive property of Aegis or its licensors. No rights are transferred to the Customer beyond the limited, non-exclusive, non-transferable licence of use granted under these Terms.

7.2 Customer Content

The Customer retains full ownership of the Content uploaded and of the outputs generated through the Platform. The Customer grants Aegis a limited, non-exclusive licence strictly for the purpose of delivering the service (storage, AI processing, backup).

7.3 AI output

Outputs generated by the AI models are attributed to the Customer to the extent permitted by law. The Customer is responsible for verifying the accuracy and lawful use of such outputs.

7.4 Watermark

Documents downloaded from the Platform may contain a watermark with the Customer's identifier and timestamp to ensure traceability and protect rights.

8. SLA and availability

Aegis commits to a service level of 99.9% calculated on a monthly basis, excluding:

  • Scheduled maintenance windows, announced with at least 48h notice.
  • Force majeure events (massive DDoS attacks, third-party provider outages, disasters).
  • Unavailability caused by the Customer or by misconfiguration on the Customer's side.

If the SLA is not met, the Customer may request a service credit proportional to the downtime, applied to the next billing cycle.

9. Limitation of liability

To the maximum extent permitted by applicable law:

  • The Platform is provided "as-is" and "as-available", with no implied warranty of merchantability or fitness for a particular purpose.
  • Aegis is not liable for indirect or consequential damages, loss of profits, loss of data or loss of opportunity.
  • Aegis's total liability towards the Customer, on any ground, shall not exceed the amount actually paid by the Customer to Aegis in the 12 months preceding the event giving rise to liability.
  • Nothing in these Terms excludes or limits Aegis's liability for wilful misconduct, gross negligence, personal injury or where limitation is prohibited by law.

10. Termination

10.1 Customer termination

The Customer can deactivate individual modules or the whole account at any time from the admin panel. Termination takes effect at the end of the current billing cycle; amounts already invoiced are not refundable unless required by law.

10.2 Termination for breach

Aegis may terminate the agreement with immediate effect in case of:

  • Material breach of these Terms or of the Privacy Policy.
  • Non-payment persisting beyond 15 days.
  • Conduct that endangers the security of the Platform or other users.

10.3 Effects of termination

  • Account access is revoked.
  • Customer Content is kept for 30 days (grace period) to allow export, then deleted or anonymised pursuant to the Privacy Policy.
  • Invoices and accounting documents are retained for the period required by applicable tax law.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with English law, excluding conflict-of-laws rules and the Vienna Convention on the International Sale of Goods.

The courts of London (England) have exclusive jurisdiction over any dispute arising out of these Terms, save for mandatory consumer-protection provisions of the consumer's place of residence.

Before bringing legal action, the parties commit to attempting an amicable resolution through written communication addressed to the contact in section 13.

12. Changes to the Terms

Aegis reserves the right to update these Terms to reflect regulatory, technological or product changes. In case of material changes the Customer will be notified by email or via a prominent in-platform notice at least 30 days in advance.

Continuing to use the Platform after the new Terms take effect constitutes acceptance of the changes. Otherwise, the Customer may terminate without penalty within the notice period.
